1. Introduction
These general terms (“Terms”) govern your access to and use of the Referrio platform, website and services (“Services”). By creating an account or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. Referrio is operated by Referrio Ltd.
2. Your account
You must provide accurate and complete information when registering for an account. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately of any unauthorised use. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably suspect are being used fraudulently.
3. Acceptable use
You agree not to use the Services to: (a) violate any applicable law or regulation; (b) infringe the rights of others; (c) distribute malware or other harmful code; (d) send unsolicited communications (spam); (e) attempt to gain unauthorised access to any part of the Services; or (f) interfere with the integrity or performance of the Services.
4. Referral data and content
You are responsible for ensuring that any personal data you upload or process through Referrio (including referrer and referee information) is collected and shared in compliance with all applicable data protection laws. You must have a lawful basis for processing such data and must provide any required privacy notices to the individuals concerned.
5. Subscriptions and billing
Some features of the Services require a paid subscription. Fees are billed in advance on a recurring basis according to the plan you select. You authorise us to charge your chosen payment method. All fees are non-refundable except where required by law. We may change pricing by giving you at least 30 days’ notice.
6. Intellectual property
Referrio and its licensors own all intellectual property rights in the Services. We grant you a limited, non-exclusive, non-transferable licence to use the Services during your subscription term, solely for your internal business purposes. You may not copy, modify, distribute or create derivative works from any part of the Services without our express written consent.
7. Confidentiality
Each party agrees to keep confidential all proprietary or confidential information disclosed by the other in connection with the Services, and to use such information only for the purposes for which it was disclosed. This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.
8. Limitation of liability
To the fullest extent permitted by law, Referrio shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of the Services. Our total liability for any claim arising under these Terms shall not exceed the total amount you paid us in the 12 months preceding the claim.
9. Term and termination
These Terms remain in effect until terminated. You may terminate at any time by closing your account. We may suspend or terminate your access immediately if you breach these Terms or if we discontinue the Services. Upon termination, all licences granted to you will cease, and we may delete your data in accordance with our Privacy Policy.
10. Changes to these terms
We may update these Terms from time to time. When we make material changes we will notify you in the app or by email at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
11. Governing law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
